Terms of Service

Welcome to AgenticEye. These Terms of Service ("Terms") govern your access to and use of the AgenticEye platform, website at agenticeye.com, and all related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, subscribing to a plan, or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

AgenticEye provides an AI-powered camera monitoring platform that:

• Connects to existing camera feeds (RTSP, ONVIF, cloud, FTP) without requiring new hardware
• Deploys industry-specific AI agents for real-time monitoring, anomaly detection, predictive analysis, and autonomous actions
• Generates alerts, reports, and compliance documentation
• Supports multiple industry verticals including equine, security, construction, wildlife, education, aviation, and more

3. Account Registration

To use the Service, you must:

• Provide accurate, complete, and current registration information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized access to your account
• Be at least 18 years of age or the age of majority in your jurisdiction

You are responsible for all activities that occur under your account.

4. Subscription Plans and Billing

4.1 Plans

AgenticEye offers the following subscription tiers:

• Scout (Starter): pricing as agreed in your order form — up to 10 cameras, 1 vertical
• Sentinel (Growth): pricing as agreed in your order form — up to 100 cameras, 3 verticals
• Overseer (Enterprise): Custom pricing — unlimited cameras, all verticals

4.2 Free Trial

All plans include a 14-day free trial. No credit card is required to start a trial. At the end of the trial period, you must select a paid plan to continue using the Service. If you do not subscribe, your access will be suspended and data retained for 30 days before deletion.

4.3 Billing

• Subscriptions are billed monthly or annually, as selected at checkout
• Fees are non-refundable except as required by applicable law
• We reserve the right to modify pricing with 30 days' prior notice
• Failed payments may result in service suspension after a 7-day grace period

4.4 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. Your data will be retained for 30 days following cancellation, after which it will be permanently deleted.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:

• Use the Service for any illegal surveillance or monitoring activities
• Violate any applicable privacy laws, including monitoring individuals without proper legal basis or consent where required
• Attempt to reverse-engineer, decompile, or disassemble any part of the platform
• Interfere with or disrupt the integrity or performance of the Service
• Use the Service to develop a competing product
• Share account credentials with unauthorized third parties
• Upload, transmit, or store content that is unlawful, harmful, or violates third-party rights

6. Camera Feed Data

6.1 Ownership

You retain all rights to your camera feed data. AgenticEye does not claim ownership of any video content processed through the platform.

6.2 License

By using the Service, you grant AgenticEye a limited, non-exclusive license to process your camera feeds solely for the purpose of providing the Service, including AI analysis, alert generation, and report creation.

6.3 Responsibility

You are solely responsible for ensuring that your use of camera monitoring complies with all applicable laws, regulations, and privacy requirements in your jurisdiction, including obtaining any necessary consents from individuals being monitored.

7. Intellectual Property

The Service, including all software, AI models, algorithms, user interfaces, designs, trademarks, and documentation, is owned by AgenticEye and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.

8. Service Availability and SLA

• Scout & Sentinel: We target 99.5% uptime but do not guarantee it
• Overseer (Enterprise): Custom SLA with uptime guarantees as specified in your enterprise agreement

We may perform scheduled maintenance with advance notice. Emergency maintenance may occur without notice when necessary to protect the integrity of the Service.

9. Limitation of Liability

To the maximum extent permitted by law:

• AgenticEye shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability for any claims arising from the Service shall not exceed the fees paid by you in the 12 months preceding the claim
• AgenticEye is not liable for any losses resulting from actions or inactions taken based on AI-generated alerts, reports, or autonomous actions
• The Service is a monitoring aid and does not replace professional human judgment in critical safety situations

10. Indemnification

You agree to indemnify and hold harmless AgenticEye, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

11. Termination

We may suspend or terminate your access to the Service if:

• You violate these Terms
• Your payment is overdue for more than 7 days
• We are required to do so by law
• Your use poses a security risk to the platform or other users

Upon termination, your right to use the Service ceases immediately. We will provide 30 days for data export upon request.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws principles. Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

13. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or a prominent notice on our website at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance of the updated Terms.
